Definitions, eligibility, account security & governing law

This Agreement ("Agreement") governs your access to and use of all services offered by HostiMatic ("we", "us", "our"), a web hosting provider registered in Bangladesh and operating at hostimatic.com. By signing up for, accessing, or using any HostiMatic service, you ("Customer" or "you") agree to be bound by this Agreement in its entirety.
1.1 Definitions
- "HostiMatic" refers to the company, its website, control panels, billing systems, and all associated infrastructure.
- "Services" means any product or plan purchased from HostiMatic, including shared hosting, VPS, dedicated servers, business email, and BDIX hosting.
- "Account" means your unique login credentials used to access the HostiMatic client area and control panel.
- "Content" means any data, files, code, scripts, databases, or materials uploaded to or stored on HostiMatic infrastructure.
- "AUP" means the Acceptable Use Policy described in Section 3 of this Agreement.
1.2 Eligibility
You must be at least 18 years of age to enter into this Agreement. By registering an account, you represent and warrant that you are legally capable of forming a binding contract and are not prohibited from receiving services under applicable law.
1.3 Account Registration & Security
- You agree to provide accurate, current, and complete information during registration.
- You are solely responsible for maintaining the confidentiality of your account credentials.
- HostiMatic will not be liable for any loss or damage arising from unauthorized access due to credential compromise on your end.
- You must notify us immediately at [email protected] if you suspect any unauthorized use of your account.
1.4 Modifications to Terms
HostiMatic reserves the right to modify these Terms at any time. Changes will be communicated via email to your registered address and posted on our website. Your continued use of Services after the effective date of changes constitutes your acceptance of the revised Terms.
1.5 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

Billing, Payment & Refunds
Pricing, payment methods, refund windows per service

2.1 Pricing & Currency
- All prices are listed in Bangladeshi Taka (BDT) and United States Dollars (USD). The applicable currency is determined at the time of order.
- HostiMatic reserves the right to modify pricing with 30 days prior notice to existing customers.
- Promotional pricing applies only to the initial billing cycle unless explicitly stated otherwise.
2.2 Payment Methods
HostiMatic accepts payments via bKash, Nagad, bank transfer, debit/credit cards, and other methods listed in the client area. Payments must be made in full prior to service activation.
2.3 Billing Cycles & Renewals
- Services are billed in advance on a monthly, quarterly, semi-annual, or annual basis depending on your selected plan.
- Auto-renewal is enabled by default. You may disable auto-renewal from your client area at any time.
- HostiMatic will send renewal reminders at 30, 15, and 7 days before the due date.
- Overdue accounts may be suspended after 7 days past the due date and terminated after 30 days.
2.4 Refund Policy
- Shared Hosting: 30-day money-back guarantee on first-time purchases. Refunds are not applicable to renewal payments.
- VPS Servers: 7-day money-back guarantee for new customers. No refund after the first 7 days.
- Dedicated Servers: No refund after the service has been provisioned and activated.
- Business Email: No refund after account activation and mailbox creation.
- BDIX Hosting: 14-day money-back guarantee on new accounts. No refund after the trial period.
- Domain registrations are non-refundable under any circumstances.
- Add-ons, SSL certificates, and one-time setup fees are non-refundable.
2.5 Chargebacks
If you initiate a chargeback or payment dispute without first contacting HostiMatic support, your account will be immediately suspended. A BDT 1,500 / USD 15 chargeback processing fee will apply, and the account may be permanently terminated.

Acceptable Use Policy
Prohibited content, resource limits, spam policy & enforcement

3.1 Prohibited Content & Activities
You may not use HostiMatic services to host, distribute, or engage in any of the following:
- Child sexual abuse material (CSAM) or any content that exploits or harms minors.
- Illegal content including pirated software, cracked applications, counterfeit goods, or copyrighted media distributed without authorization.
- Malware, ransomware, spyware, phishing pages, or any malicious code.
- Spam email campaigns or bulk unsolicited messaging.
- Cryptocurrency mining operations consuming excessive server resources.
- Tor exit nodes, proxy servers for circumventing legal restrictions, or anonymization services facilitating illegal activity.
- Content promoting hate, terrorism, violence, or discrimination based on race, religion, gender, ethnicity, or nationality.
- DDoS tools, network attack scripts, or services enabling Distributed Denial of Service attacks.
- Fraudulent websites, impersonation pages, or identity theft schemes.
3.2 Resource Usage
- Shared Hosting plans are subject to fair usage. Sustained CPU usage exceeding 25% for more than 90 seconds or memory spikes causing server instability may result in process termination or account review.
- You may not use your hosting account for file storage or backup services unrelated to your website.
- Running persistent background processes, bittorrent clients, or IRC bots on shared hosting is prohibited.
3.3 Email & Spam Policy
- Sending unsolicited commercial email (spam) from our servers is strictly prohibited.
- Bulk email must be opt-in and comply with applicable anti-spam laws.
- HostiMatic may impose sending limits on accounts generating high complaint or bounce rates.
3.4 Enforcement
HostiMatic reserves the right to suspend or terminate accounts found in violation of this AUP immediately and without prior notice, particularly in cases of illegal content or network abuse. We will cooperate fully with law enforcement authorities.

Shared Hosting Terms
Storage, bandwidth, software, and 99.9% uptime SLA

Applies to all HostiMatic Shared Hosting plans (Starter, Business, and Pro) delivered via cPanel with LiteSpeed web server on NVMe SSD storage.
4.1 Service Description
Shared Hosting places your website on a server shared with other customers. Resources including CPU, RAM, and disk I/O are allocated from a shared pool. Performance may vary based on collective server load.
4.2 Disk Storage
- Storage allocations are for active website files only. Offsite backup storage, media archives, and compressed dump files unrelated to site operation are prohibited.
- You are strongly encouraged to maintain independent copies of all critical data at all times.
4.2.1 Automatic Backups
HostiMatic provides 7-day rolling automatic backups for eligible Shared Hosting accounts. These backups are performed nightly at the server level and are intended as a disaster recovery safety net β they are not a substitute for your own backup strategy.
- Automatic backups are retained for a rolling period of 7 days. Backups older than 7 days are permanently deleted from our systems.
- Automatic backups are available only to accounts whose total disk usage is under 20 GB at the time the backup job runs.
- If your account storage reaches or exceeds 20 GB, the automatic backup job will be skipped for that account and no backup will be created for that cycle. HostiMatic will not be liable for data loss in such cases.
- Accounts that have previously been excluded due to the 20 GB threshold will resume receiving automatic backups only when account storage drops below 20 GB prior to the next scheduled backup window.
- Automatic backup restoration requests may be submitted via the support ticket system. Restoration is performed on a best-effort basis and is not guaranteed.
β οΈ 20 GB Backup Exclusion: If your account storage is 20 GB or more, your account will NOT be included in the nightly automatic backup cycle. It is your sole responsibility to maintain your own off-server backups when this threshold is reached or exceeded.
4.2.2 Manual Backups (cPanel)
- Customers may generate manual backups at any time via the cPanel Backup or Backup Wizard tool.
- Manual backup files (including
.zip, .tar.gz, and any other compressed archive formats) stored within your cPanel hosting account will be automatically deleted after 7 days.
- This policy applies to all compressed archive files located anywhere within your hosting account β including the home directory,
public_html, and any subdirectory.
- HostiMatic will not issue warnings or notifications prior to the deletion of manual backup archives. The 7-day deletion is automatic and irreversible.
- You are responsible for downloading your manual backup to your local device or an external storage location immediately after generation. HostiMatic shall bear no liability for backup archives deleted under this policy.
β οΈ Action Required: After generating a manual backup in cPanel, you must download the backup file to your own computer or external storage immediately. Manual backup archives left on the server will be permanently deleted after 7 days with no recovery option.
4.3 Bandwidth & Traffic
- Shared Hosting plans include unmetered bandwidth subject to fair use. Abnormal traffic patterns indicative of abuse may be investigated.
- Accounts generating traffic exceeding 5TB/month may be reviewed and migrated to a VPS plan.
4.4 Software & Applications
- Customers may install applications through Softaculous or manually via cPanel.
- You are responsible for keeping installed applications (WordPress, Joomla, etc.) up to date and patched against known vulnerabilities.
- HostiMatic is not liable for website compromises resulting from outdated software installed by the customer.
4.5 Uptime Guarantee
HostiMatic guarantees 99.9% network uptime for Shared Hosting (β8.76 hours maximum downtime per year). Scheduled maintenance windows are excluded and communicated at least 24 hours in advance.
4.6 Support Scope
Technical support covers server-side issues, cPanel access, email configuration, and DNS management. Application-level troubleshooting (WordPress theme issues, plugin conflicts, custom code errors) is provided on a best-effort basis and may be subject to additional charges.

VPS Server Terms
Managed vs. unmanaged, resource allocation & 99.95% SLA

Applies to all Virtual Private Server (VPS) plans including Linux VPS, Windows VPS, and managed VPS configurations powered by KVM hypervisor.
5.1 Service Description
A VPS provides dedicated virtual resources (vCPU cores, RAM, NVMe SSD storage) on a KVM hypervisor. You receive full root/administrator access and are responsible for server administration unless you have opted for a Managed VPS plan.
5.2 Customer Responsibilities (Unmanaged VPS)
- Operating system installation, updates, and security patching.
- Web server, database, and application stack configuration.
- Firewall rules and intrusion detection setup.
- Regular data backups (HostiMatic backup add-ons are available for purchase).
- SSL certificate provisioning and renewal.
5.3 HostiMatic Responsibilities (Managed VPS)
For Managed VPS plans, HostiMatic provides OS-level administration, security hardening, automated patching, server monitoring, and proactive incident response. Application-level management is excluded unless specified in your plan description.
5.4 Resource Allocation
- VPS resources are guaranteed and dedicated to your instance β allocated CPU and RAM are reserved exclusively for you.
- Upgrading or downgrading your VPS plan is possible and may require a brief service window for reallocation.
- Burstable resources are available on select plans and are not guaranteed during high overall node utilization.
5.5 Network & IP Addresses
- Each VPS includes at least one dedicated IPv4 address. Additional IPs may be requested subject to justified technical need and availability.
- Assigned IP addresses remain the property of HostiMatic and are leased for the duration of your subscription.
- IP addresses used for spam, abuse, or malicious activity will be immediately null-routed.
5.6 Snapshots & Backups
- VPS snapshot functionality may be available via the control panel. Snapshots stored on the same node do not constitute a disaster recovery solution.
- Off-site backup services are available as a paid add-on and are strongly recommended.
5.7 Uptime Guarantee
HostiMatic guarantees 99.95% network uptime for VPS services. Emergency maintenance required to address critical vulnerabilities may be performed without prior notice.

Dedicated Server Terms
Provisioning, hardware SLA, IPMI access & 99.99% uptime

Applies to all bare-metal server plans where the customer receives exclusive use of the physical hardware with no virtualization layer.
6.1 Service Description
A Dedicated Server provides exclusive access to a physical server β all CPU cores, RAM, storage, and network ports are yours alone. No virtualization layer exists between your workloads and the hardware.
6.2 Provisioning
- Dedicated servers are provisioned within 24β72 business hours after payment confirmation, subject to hardware availability.
- HostiMatic will notify you via email once the server is ready for access.
- Custom hardware configurations and RAID setups must be requested at order time and may extend provisioning timelines.
6.3 Hardware Replacement SLA
- Critical component failures (CPU, RAM, primary disk): 4-hour replacement SLA during business hours.
- Redundant disk (RAID) failures: addressed within 8 business hours.
- HostiMatic will notify you before performing any hardware maintenance requiring server downtime.
6.4 Customer Access & Control
- Full IPMI/iDRAC remote management access is provided upon request.
- Out-of-band (OOB) access allows hardware-level management even when the OS is unresponsive.
- OS reinstallation is available via the client area or upon request to support.
6.5 Network & Bandwidth
- Dedicated servers include a defined monthly bandwidth allocation. Overage charges apply beyond the included allowance.
- Port speeds as specified in your plan (1Gbps standard; 10Gbps available on select configurations).
- Network abuse from dedicated servers will result in null-routing of the offending IP and may lead to account termination.
6.6 Physical Security
All servers are housed in a Tier III-equivalent data center in Bangladesh with 24/7 physical security, biometric access controls, redundant power (UPS + generator), and multiple network uplinks. Customers do not have physical data center access.
6.7 Data Handling on Termination
Upon service termination, HostiMatic performs a secure disk wipe of all physical storage media in compliance with DoD 5220.22-M or equivalent standard. Customers are responsible for retrieving their data prior to service cancellation.

Business Email Terms
Mailbox quotas, sending limits, SPF/DKIM/DMARC & privacy

Business Email plans provide professional mailboxes using your own domain (e.g.,
[email protected]) through HostiMatic's enterprise-grade mail infrastructure with IMAP/POP3/SMTP and webmail access.
7.1 Storage Quotas
- Each mailbox has a defined storage quota as specified in your plan.
- Automated warnings are sent at 90% capacity. At 100%, incoming mail will be rejected until storage is freed.
- Upgrading storage is available as a paid add-on through the client area.
7.2 Email Sending Limits
- Standard plans: up to 500 emails/hour and 5,000 emails/day per mailbox.
- These limits protect server reputation and deliverability for all customers.
- A dedicated SMTP relay solution is available upon request for high-volume senders.
7.3 Anti-Spam & Security
- All inbound email is scanned for spam and malware using enterprise-grade filters.
- HostiMatic implements SPF, DKIM, and DMARC authentication for all hosted domains.
- You must ensure outbound email complies with anti-spam legislation applicable in your jurisdiction.
7.4 Data Privacy
- Email content transmitted through HostiMatic servers is handled in strict confidence.
- HostiMatic does not sell, analyze, or monetize email content.
- Access to email data may be provided to law enforcement only upon receipt of a valid court order or legal process.
7.5 Prohibited Uses
- Using Business Email for mass marketing, mailing lists, or transactional email sending at scale.
- Impersonating other individuals or organizations in email headers or sender fields.
- Sending emails containing malware, phishing content, or fraudulent offers.
7.6 Domain Dependency
Business Email requires an active domain registered or pointed to HostiMatic nameservers. If the associated domain expires or DNS is removed, email services will become unavailable until resolved. HostiMatic is not responsible for email disruptions caused by domain management issues outside our control.

BDIX Hosting Terms
Bangladesh Internet Exchange peering, compliance & content rules

8.1 What is BDIX?
The Bangladesh Internet Exchange (BDIX) is the national internet peering infrastructure allowing ISPs across Bangladesh to exchange traffic locally without international transit costs. Websites on BDIX servers load significantly faster for users on Grameenphone, Robi, Banglalink, BTCL, and major cable operators.
8.2 Service Scope
- BDIX Hosting is designed for customers targeting audiences primarily within Bangladesh.
- Content is hosted on servers physically located within Bangladesh, directly peered into the BDIX fabric.
- International visitor speeds depend on upstream transit links and may differ from local BDIX performance.
8.3 Eligible Use Cases
- News portals and media websites targeting Bangladeshi readers.
- E-commerce platforms serving the Bangladesh market.
- Educational portals, government service sites, and NGO websites.
- Local streaming, video hosting, and entertainment platforms (subject to content licensing compliance).
- Corporate websites, agency portfolios, and small business landing pages.
8.4 Content Compliance
All content hosted on BDIX servers must comply with the laws of Bangladesh, including the Digital Security Act, the Information and Communication Technology Act, and copyright regulations enforced by the Bangladesh Copyright Office.
8.5 BDIX-Specific Content Restrictions
- Political content must accurately represent organizations and must not constitute electioneering misinformation.
- Content must not offend religious sentiments in a manner that may constitute an offense under Bangladeshi law.
- Streaming or distribution of unlicensed content is strictly prohibited.
- Any content blocked or restricted by BTRC (Bangladesh Telecommunication Regulatory Commission) orders must not be hosted.
8.6 BDIX Peering & Speed Guarantee
- HostiMatic guarantees BDIX-internal round-trip latency of under 5ms to major ISP peering points under normal conditions.
- During BDIX network maintenance or outages affecting the national peering infrastructure, HostiMatic is not liable for degraded performance.
- Speed guarantees apply to network connectivity and not to application performance, which depends on website optimization.
8.7 Budget BDIX Plans
HostiMatic's Budget BDIX Hosting plans offer entry-level resource allocations at economical pricing for small websites and personal projects. These plans are subject to stricter resource usage limits and are recommended for static sites or low-traffic dynamic sites.
8.8 Government & Regulatory Cooperation
HostiMatic will cooperate with BTRC, RAB, and other Bangladeshi government authorities as required by law. Hosting accounts containing content subject to takedown orders will be suspended pending legal resolution.

9.1 SLA Credits
If HostiMatic fails to meet the stated uptime SLA in any calendar month, eligible customers may request a service credit equal to 10% of the monthly fee for each 1 hour of excess downtime, up to a maximum of 50% of the monthly fee. Credits do not apply to outages caused by customer actions, force majeure events, or scheduled maintenance.
9.2 Support Channels
- Support Ticket: Available 24/7 via the client area. Recommended for all technical issues.
- Live Chat: Available during Bangladesh business hours (9 AM β 10 PM, SundayβThursday).
- Phone Support: Available for Dedicated Server and Enterprise customers.

Data, Privacy & Security
Data ownership, backups, breach notification

10.1 Data Ownership
You retain full ownership of all Content you upload to HostiMatic servers. HostiMatic does not claim any intellectual property rights over your data. We access your data only when required to provide the Services or when authorized by you for support purposes.
10.2 Data Processing
HostiMatic collects and processes personal data (name, email, billing address, payment information) to fulfill our contractual obligations, send service communications, and comply with legal requirements. We do not sell personal data to third parties.
10.3 Backups
- HostiMatic performs server-level backups for disaster recovery. These are retained for 7 days and are not customer-accessible.
- HostiMatic does not guarantee backup integrity and recommends customers maintain their own independent backups.
- Customer-accessible backup solutions are available as paid add-ons.
10.4 Security Incidents
In the event of a data security breach affecting your account, HostiMatic will notify you within 72 hours of discovery via your registered email address, including details of the incident, data potentially affected, and remediation steps taken.

Limitation of Liability
Disclaimers, liability caps & force majeure

11.1 Disclaimer of Warranties
HostiMatic provides all services "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the services will be uninterrupted, error-free, or free from harmful components. To the maximum extent permitted by applicable law, HostiMatic disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
11.2 Limitation of Liability
HostiMatic's total liability to you for any claim shall not exceed the total fees paid in the 3 months preceding the event giving rise to the claim. HostiMatic shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of revenue, loss of profits, or loss of data.
11.3 Force Majeure
HostiMatic shall not be liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, civil unrest, government actions, power grid failures, internet backbone outages, cyberattacks on upstream infrastructure, pandemics, or labor disputes.

Termination & Suspension
Cancellation process, data retention after termination

12.1 Cancellation by Customer
- You may cancel any service at any time via the client area or by submitting a cancellation request to support.
- Cancellations take effect at the end of the current billing cycle unless immediate cancellation is requested.
- HostiMatic strongly recommends exporting all data before submitting a cancellation request.
12.2 Termination by HostiMatic
HostiMatic may suspend or terminate your account with or without notice in the following circumstances:
- Violation of the Acceptable Use Policy.
- Non-payment of invoices after the grace period.
- Provision of false or misleading information during registration.
- Engagement in fraudulent activity or chargebacks.
- Court order or legal obligation requiring service termination.
12.3 Data Retention After Termination
Upon account termination, data is retained for 7 days before permanent deletion. HostiMatic is not responsible for data loss following account termination. Terminated accounts cannot be restored after the 7-day retention window.

Intellectual Property
HostiMatic IP, customer content license & DMCA takedowns

13.1 HostiMatic Intellectual Property
The HostiMatic name, logo, website design, software, control panels, and documentation are the intellectual property of HostiMatic and are protected by applicable copyright, trademark, and trade secret laws. You may not use, copy, or reproduce any HostiMatic branding without express written permission.
13.2 Customer Content License
By hosting your Content on HostiMatic servers, you grant HostiMatic a limited, non-exclusive license to store, transmit, and display your Content solely for the purpose of providing the contracted Services. This license terminates when you remove your Content or cancel your account.
13.3 DMCA / Copyright Takedowns
HostiMatic complies with copyright law and responds to valid takedown notices. Copyright holders may submit takedown requests to [email protected]. Counter-notices will be processed in accordance with applicable law. Repeat infringers will have their accounts terminated.

Miscellaneous
Entire agreement, severability, assignment & contact info

14.1 Entire Agreement
This Agreement, together with the Privacy Policy and any service-specific addenda, constitutes the entire agreement between you and HostiMatic and supersedes all prior agreements and understandings with respect to the Services.
14.2 Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
14.3 Assignment
You may not assign or transfer your rights under this Agreement without prior written consent from HostiMatic. HostiMatic may assign this Agreement in connection with a merger, acquisition, or sale of assets without restriction.
14.4 Waiver
HostiMatic's failure to enforce any provision of this Agreement shall not constitute a waiver of our right to enforce it in the future.
